ARTICLE I - NAME

The name of this organization shall be the Westbridge Camera Club.

ARTICLE II - OBJECTIVES

The objectives of this Club shall be to:

(a)Associate for the mutual enjoyment of photography

(b)Encourage the advancement of members' knowledge and practice of the science and appreciation of the art of photography

ARTICLE III -- MEMBERSHIP

Any person, 18 years of age or older, interested in photography may become a member in this club as provided in the Bylaws.

ARTICLE IV -- OFFICERS

Section l: The elected officers of this club shall be President, Vice President, Secretary, and Treasurer, whose duties are as defined in the Bylaws.

Section 2: Three Members at Large shall be elected as provided in the Bylaws.

Section 3: The Executive Committee shall be composed of the elected officers, the Members at large, the immediate Past President, and others appointed by the President as described in the Bylaws.

ARTICLE V -- VACANCIES

Section 1: If the office of President becomes temporarily vacant, the presidential duties shall be assumed by the Vice President until the President is able to resume duties of the office. If the office of President becomes permanently vacant, the Vice President shall assume the President's duties for the remainder of the President's term.

Section 2: If any elected office other than that of President shall become vacant, it shall be filled by appointment by the President for the remainder of the officer's term.

ARTICLE VI -- MEETINGS

Section l: The Club shall meet as provided in the Bylaws.

Section 2: Special meetings of the Club may be called by the President, by three members of the Executive Committee, or upon written request of five members and sent to the President.

Section 3: Any Business Meeting shall be scheduled as specified in the Bylaws.

Section 4: All members shall be notified at least 30 days in advance of the Annual Meeting. This notice shall include the time and place of the meeting and the agenda.

ARTICLE VII -- QUORUM

Section 1: A quorum of the membership at any regular meeting shall consist of one-third (1/3) of the membership

Section 2: A quorum of the membership at an Annual Meeting shall consist of not less than a majority of the membership.

Section 3: A quorum of the Executive Committee at any meeting for the transaction of official business shall consist of not less than one-half (1/2) of the Committee's membership.

Section 4: A majority vote of the quorum shall be sufficient to pass any motion made at any of these meetings, except for amendments to the Constitution.

ARTICLE VIII -- AMENDMENTS

Section l: This Constitution may be amended at the Annual Meeting of the Club, upon affirmative vote of two-thirds (2/3) of the members present.

Section 2: The Bylaws may be amended, in any manner not in conflict with the provisions of the Constitution, by an affirmative vote of a majority of the members of the club present at any regular meeting.

ARTICLE IX - MEMBERSHIP IN OTHER ORGANIZATIONS

Section 1: The Club may affiliate with any organization that shares its goals, as specified in the Bylaws

Section 2: If the Club holds membership in another organization, the President may appoint a representative or liaison to that organization.

ARTICLE X - FISCAL YEAR

The fiscal year of the club shall run from July 1 to June 30.
